These Terms of Service ("Terms") govern your use of the EmpactX Blockchain Academy website, courses, and All-Access Membership (the "Service"), operated by EmpactX Inc. ("EmpactX," "we," "us"). By creating an account, joining the membership, or making a purchase, you agree to these Terms. If you do not agree, please do not use the Service.
1. Who we are

2. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to purchase. You are responsible for keeping your login details confidential and for all activity under your account. Accounts are for one individual and may not be shared.
3. The All-Access Membership and pricing
Courses are available through the EmpactX All-Access Membership, a recurring subscription that gives you access to every course in the academy while your membership is active, including courses and updates we add over time. The current price is shown at checkout (currently $29.99 per month, plus any applicable taxes). Payments are processed by our third-party payment provider; we do not store your full card details. You are responsible for any taxes that apply to your purchase.
4. Automatic renewal
Your membership renews automatically every month and your payment method will be charged the then-current monthly price until you cancel. Each billing period begins on the date you join and repeats monthly on the same date. If a payment fails, we may retry the charge and may suspend access until payment succeeds. If we change the membership price, we will notify you by email before the change takes effect, and the new price will apply from your next billing date unless you cancel before then.
5. Cancellation
You may cancel at any time from your account or by contacting [email protected]. Cancellation stops all future charges. When you cancel, your access to membership courses ends immediately — it does not continue to the end of the billing period. You may rejoin at any time at the then-current price.
6. No refunds
All membership payments are non-refundable. Because course content is delivered digitally and made available immediately, we do not offer refunds, credits, or prorated amounts for any billing period, including partial months, unused time, or periods in which you did not use the Service. Please review the course descriptions, curriculum, and these Terms before joining.
If you are a consumer in the European Union or United Kingdom: by completing your purchase you expressly request immediate access to the digital content and acknowledge that you thereby lose your statutory right of withdrawal once access begins.
Nothing in this section limits any right you may have under applicable law that cannot be waived. If you believe you were charged in error, contact [email protected].
7. Course access and licence
While your membership is active, we grant you a personal, non-exclusive, non-transferable licence to access and view membership courses for your own non-commercial education. Access ends when your membership ends. We update, add, reorganise, and retire course content over time to keep it current; we may change which courses are included in the membership, and we do not guarantee that any particular course will remain available.
You may not copy, resell, share, publicly display, record, or redistribute course materials, including downloads, quizzes, and lesson text, or share your login with others. Downloadable materials are for your personal use only.
8. Educational purpose only
All content is provided for general educational purposes. It explains how technology works. It is not investment, financial, legal, or tax advice, and nothing in any course is a recommendation to buy, sell, or hold any asset. Digital assets carry substantial risk, including total loss. Consult an appropriate professional adviser before making financial or legal decisions. References to specific networks, tools, or services are examples only and are not endorsements.
9. Certificates of completion
Certificates of completion are issued by EmpactX Inc. to confirm that you completed a course. They are not a government licence, professional licence, or academic credential, and they do not represent any third-party endorsement. Certificates you have earned remain valid after your membership ends.
10. Intellectual property
All course content, text, graphics, logos, and materials are owned by EmpactX Inc. or its licensors and are protected by copyright and trademark laws. The EmpactX name and seal are trademarks of EmpactX Inc.
11. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, scraping content, or using it for any unlawful purpose.
12. Third-party sites and tools
Some lessons ask you to use public third-party websites, such as block explorers. We do not control those sites and are not responsible for their content, availability, or practices. Your use of them is at your own discretion and subject to their terms.
13. Disclaimers
The Service and all content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement. We do not promise any particular result, outcome, or earnings from taking a course.
14. Limitation of liability
To the fullest extent permitted by law, EmpactX Inc. and its officers, employees, and instructors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or digital assets, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the membership fees you paid in the three months before the claim arose.
15. Indemnity
You agree to indemnify and hold harmless EmpactX Inc. from claims arising out of your breach of these Terms or misuse of the Service.
16. Suspension and termination
We may suspend or terminate your membership and access, without refund, if you breach these Terms, including by sharing your account or redistributing course materials.
17. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date shows the current version. We will notify members by email of material changes. Continued use of the Service after changes take effect means you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise.
